Terms & Conditions

Note: The terms below represent the standard operating policies of Lua Visions Creative. If you have executed a custom, signed Service Agreement or Project Proposal with me, the specific terms of that executed document shall supersede these general terms in the event of any conflict.

1. Scope and Services

These General Terms and Conditions apply to all services provided by Lua Visions Creative (CVR: 46167961), based in Hedehusene, Denmark, in the areas of design, digital design, branding, media post-production, website management, and creative services. The specific scope of services, agreed deliverables and results, timeline, and fees for a project will be set out in a written project quotation or statement of work.

2. Quotations, Timelines, and Revisions

• Quotations: Written project proposals and quotations are valid for 14 calendar days from the date of issue, unless otherwise stated.
• Timelines and Client Delays: Project timelines are established upon mutual agreement. Any delays resulting from missing materials, feedback, or approvals from the client will automatically result in a corresponding extension of the delivery schedule.
• Revisions: Unless specific rounds of revisions have been agreed upon in a written statement of work, all requested changes, adjustments, and additional revisions will be charged at the regular hourly rate.

3. Payment, Invoicing, and EU B2B VAT

• Payment Terms: Invoices are issued electronically and are payable within 14 calendar days from the invoice date. An advance payment may be required before project commencement.
• Aditional Costs: Costs for external services and products (e.g. printing, shipping, stock media, software plugins, hosting, and fonts) are not included in the fees for creative services and are payable by the client.
• EU Cross-Border Reverse Charge: For services provided to VAT-registered business customers (B2B) established in another EU Member State, VAT will, where the applicable legal requirements are met, be treated under the reverse-charge mechanism pursuant to Articles 44 and 196 of Council Directive 2006/112/EC. The client is required to provide a valid VAT identification number. Lua Visions Creative reserves the right to verify the validity of the VAT identification number provided. If a subsequent tax liability arises as a result of incorrect or invalid information provided by the client, the resulting tax claim may be passed on to the client to the extent permitted by law.

4. Right of Withdrawal for Consumers

Consumers generally have a statutory right of withdrawal of 14 days for contracts concluded at a distance. The right of withdrawal does not apply without limitation to all services and may, in particular, expire if performance of the service begins before the withdrawal period has expired at the consumer's express request and the statutory requirements for this are met.

Withdrawal may be declared by email to office@luavisions.com. To exercise the right of withdrawal, it is sufficient to provide a clear statement that the contract is to be cancelled.

Commencement of Services Before Expiry of the Withdrawal Period: If consumers expressly request that performance of the service begin before the statutory withdrawal period has expired, this will only take place following the consumer's corresponding express consent and in compliance with the applicable statutory requirements.

5. Intellectual Property, Source Files, and Portfolio Usage

• Grant of Usage Rights: The agreed usage rights to the final deliverables will be granted upon receipt of full payment of all outstanding invoices. Unless otherwise agreed in the relevant project proposal, the client will receive an exclusive, perpetual, and worldwide right to use, reproduce, and adapt the final deliverables for their business or personal purposes. The transfer or granting of usage rights does not extend to fonts, stock media, plugins, templates, or other third-party components that are subject to separate licensing terms.
• Source Files: Unless expressly agreed otherwise, all rights to the original source files and working files remain with Lua Visions Creative.
• Moral Rights and Credits: Where appropriate and practicable, the client is required to credit Lua Visions Creative as the creator and/or producer.
• Portfolio Use: Lua Visions Creative reserves the right to showcase completed designs and project work for self-promotional purposes on its own website, in its portfolio, and on social media, unless a separate non-disclosure agreement (NDA) has been signed.

6. Client Responsibilities and Approval

The client is responsible for supplying necessary assets, access credentials, and content in a timely manner and warrants that all provided materials do not infringe upon third-party rights.

Final Approval: The client is responsible for the final review and approval of all texts, layouts, and design elements. Following approval, Lua Visions Creative shall not be liable for errors that could have been identified during the final review, to the extent permitted by law. Lua Visions Creative assumes no responsibility for the legal, regulatory, or medical compliance of content provided by the client.

7. Warranty, Hosting, and Third-Party Services

Lua Visions Creative will perform the agreed services with the level of professional care reasonably appropriate to the respective project. However, Lua Visions Creative does not guarantee any specific business or financial results arising from the services provided, files delivered, or websites created.

Third-Party Services: Lua Visions Creative is not responsible for outages, data loss, incompatibilities, or malfunctions caused exclusively by systems, software, or services provided by third parties, to the extent permitted by law.

8. Limitation of Liability

To the extent permitted by law, Lua Visions Creative shall only be liable for damages caused by intentional or negligent conduct. Liability for indirect damages, loss of profits, loss of revenue, or business interruption is excluded to the extent permitted by law. Any limitation of liability shall not apply to damages for which liability cannot be excluded or limited under mandatory applicable law.

9. Confidentiality

Both parties undertake to treat as confidential any confidential and non-public information that becomes known to them in the course of their collaboration and not to disclose such information to third parties without the consent of the other party.

10. Governing Law and Jurisdiction

These General Terms and Conditions and the agreements concluded on their basis shall be governed by the laws of Denmark. This shall not apply to the extent that mandatory provisions of the country in which a consumer has their habitual residence provide otherwise. Any disputes shall be subject to the jurisdiction of the courts competent under the applicable law.
